Terms of Service

Thanks for using our websites and services ("Services"). When we say "Company", "we", "our", or "us" in this document, we are referring to Gritwerkz. By using our Services, you are agreeing to these terms. Please read them carefully. If you do not agree to these terms, please do not use the Services.

Intellectual property rights

Unless otherwise indicated, the Services are our proprietary property and all source code, databases, designs, and, contents on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Singapore, international copyright laws, and international conventions. Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms of service, then you are prohibited from using the Services and you must discontinue use immediately.

User account

You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage resulting from your failure to comply with this security obligation. You must be a human. Accounts created through "bots" or other automated methods are strictly prohibited. Should we discover any such occurrences, we will take necessary actions to address the situation without hesitation.

User data

Some of our Services allow you to create, update, save, and delete content. You retain ownership of any intellectual property rights that you hold in that content. You are solely responsible for the content you share with others.

Account deletion

You are solely responsible for properly deleting your account. Upon account deletion, your account will be closed, and all of your content will be immediately inaccessible. Your data will be permanently deleted from our servers within 30 days. We cannot recover this information once it has been permanently deleted. If you subscribed to the Pro Plan and still have unused quota in the last billing cycle, we will not refund any unused quota upon account deletion.

Subscription cancellation and refunds

We do not offer refunds for payments already made toward your service, but you can cancel your subscription at any time. Upon cancellation, you will still have access to all your data.

Plan changes

If you are upgrading from the free plan to the Pro plan, we will charge your card immediately, and your billing cycle will start on the day of the upgrade. If you are upgrading or downgrading your existing subscription, we will charge your card at a prorated price and update your new billing cycle accordingly. The pricing calculation, billing cycle, and payment are processed by Stripe, the leading payment-processing platform. The pricing and billing cycle are clearly displayed in the Stripe Customer Portal.

Fair use

All our users with Free Plan and Pro Plan can create unlimited goals, tasks, and reviews. Most of the essential features are free to use. We expect our users not to exploit our generosity by abusing the unlimited quota. If we find out that a user is trying to exploit our generosity, we have the right to terminate the account.

Examples of reasonable usages:

10 goals per week, 50 goals per month
50 tasks per day, 500 tasks per week

Examples of unreasonable usages:

1000 goals per week, 5000 goals per month
1000 tasks per day, 5000 tasks per week

Prohibited conduct

We may suspend your account or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

By using the Services you agree not to:

threaten, harass, demean, or embarrass any other user of the Service;
use the Services for any illegal purpose or in violation of any local, state, national, or international law;
use a buying agent or purchasing agent to make purchases on the Services;
violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any third-party intellectual property right or using or disclosing the confidential information of any third party without permission;
trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user password and email address;
make improper use of our support services or submit false reports of abuse or misconduct;
interfere with, disrupt, or create an undue burden on the Services;
copy, modify, distribute, sell, or lease any part of our Services or included software;
reverse engineer or attempt to extract the source code of any portion of the Service except to the extent that the activity is permitted by applicable law;
misuse our Services. For example, do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide.

Term and account termination

These Terms of Service shall remain in full force and effect while you use the Services.

Without limiting any other provision of these terms of service, we reserve the right, in our sole discretion and without notice or liability, deny access to and use of the Services (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these terms of service or of any applicable law or regulation. We may terminate your use or participation in the Services or delete your account and any content or information that you posted at any time, without warning, in our sole discretion. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

Modification and termination our Services

We reserve the right to modify or discontinue the Services at any time (including by limiting or discontinuing certain features of the Services), temporarily or permanently, without notice to you. We will have no liability for any change to the Services or any suspension or termination of your access to or use of the Service.

Disclaimers

THE SERVICES AND ALL MATERIALS AND CONTENT AVAILABLE THROUGH THE SERVICES ARE PROVIDED "AS IS". GRITWERKZ DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATING TO THE SERVICES AND CONTENT AND ALL MATERIALS AVAILABLE THROUGH THE SERVICE, INCLUDING: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR QUIET ENJOYMENT; AND (B) ANY WARRANTY ARISING OUT OF COURSE OF USAGE, DEALING, OR TRADE. GRITWERKZ DOES NOT WARRANT THAT THE SERVICES OR ANY PORTION OF THE SERVICE, OR CONTENT OR ANY MATERIALS OFFERED THROUGH OR PROCESSED BY THE SERVICE, WILL BE UNINTERRUPTED, SECURE, OR OTHER HARMFUL COMPONENTS, OR FREE OF ERRORS, VIRUSES, AND GRITWERKZ DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM THE SERVICES OR GRITWERKZ ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE WILL CREATE ANY WARRANTY REGARDING ANY OF THE GRITWERKZ ENTITIES OR THE SERVICE THAT IS NOT STATED IN THESE TERMS. WITHOUT LIMITING ANY DISCLAIMER IN THESE TERMS, WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM (A) THE SERVICE; (B) THE ACTIONS OR INACTIONS OF THE TEAMS AUTHORIZED USERS THAT YOU INVITE TO YOUR WORKSPACE; (C) YOUR ABILITY OR INABILTITY TO ACCESS, RETRIEVE, EXPORT, TRANSFER, OR REMOVE ANY USER CONTENT FROM ANY WORKSPACE; (D) YOUR DEALING WITH ANY OTHER SERVICES USER, ADMINISTRATOR, OR ORGANIZATION; AND (E) THE PROCESSING OR USE OF YOUR USER CONTENT BY AN ORGANIZATION. YOU UNDERSTAND AND AGREE THAT YOU USE ANY PORTION OF THE SERVICES AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR MOBILE DEVICE OR COMPUTER SYSTEM USED IN CONNECTION WITH THE SERVICE) OR ANY LOSS, USE, OR DISCLOSURE OF DATA, INCLUDING USER CONTENT. THE EXCLUSIONS, LIMITATIONS, AND DISCLAIMERS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. GRITWERKZ DOES NOT DISCLAIM ANY WARRANTY OR OTHER RIGHT THAT GRITWERKZ IS PROHIBITED FROM DISCLAIMING UNDER APPLICABLE LAW.

Limitation of liability

We strive to provide the best Services we can and to specify clear guidelines for our users. However, THE SERVICES IS PROVIDED "AS IS".

WE CAN NOT PREDICT WHEN ISSUES MIGHT ARISE WITH OUR SERVICES. ACCORDINGLY, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND UNDER NO CIRCUMSTANCE WILL WE BE LIABLE TO YOU FOR ANY LOST PROFITS, REVENUES, INFORMATION, OR DATA, OR CONSEQUENTIAL, SPECIAL, DIRECT, INDIRECT, EXEMPLARY, PUNITIVE, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR USE AND/OR PURCHASE OF SERVICES ARE ALL AT YOUR SOLE RISK.

Indemnification

You agree to defend, indemnify, and hold us harmless, including our affiliates, subsidiaries, and all of our respective officers, agents, partners, and employees, from and against any damage, loss, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Service with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such action, claim, or proceeding which is subject to this indemnification upon becoming aware of it.

Miscellaneous

Privacy Policy. Please read our Privacy Policy carefully for information relating to our collection, use, storage, disclosure of your personal information. If you do not agree to these terms, please do not use the Services.
Electronic Communications. By using the Service, you consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records, and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Services. You hereby waive any rights or requirements under any statutes, ordinances, regulations, rules, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
Information for California Residents. Under the California Consumer Privacy Act ("CCPA"), Gritwerkz is a "service provider", not a "business" or "third party", with respect to your use of the Services. That means we process any data you share with us only for the purpose you signed up for and as described in these Terms and the Privacy policy. We do not retain, use, disclose, or sell any of that information for any other commercial purposes.
Bugs and security vulnerabilities We test all of our features extensively before we roll out them. As with any software, our Services inevitably have some bugs and we do not guarantee completely error-free Services. We track the bugs reported to us, prioritize them accordingly, and fix critical bugs as soon as possible, especially any related to security or privacy.
User expectation. We build our Services with care and love, based on our own experience and the feedback shared by our users. However, no solution is perfect for everyone. We make no guarantees that our Services will meet your specific requirements or expectations.
